Terms of Service

1. Acceptance of Terms

By accessing or using Clarion (the “Service”), operated by Clarion Labs (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree, do not use the Service.

2. Description of the Service

Clarion is a single-pane-of-glass IT operations console. It integrates with identity providers (such as Entra ID and Okta), mobile device management platforms (such as Intune and Jamf), email platforms (such as Exchange), and works alongside ITSM tools (such as ServiceNow, Jira Service Management, and Freshservice) to give IT operators unified context about users, devices, and activity. Clarion is not a ticketing system.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@clarionlabs.app if you become aware of any unauthorized access.

4. Permitted Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to store or transmit malicious code
  • Resell, sublicense, or redistribute access to the Service without our written consent

5. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Clarion Labs and protected by intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or other brand elements. You retain ownership of any data you submit to the Service.

6. Plans and Payment

Clarion offers multiple service tiers, including a free plan that does not require a credit card. Paid plans (such as Pro and Firm) are billed through Stripe. By subscribing to a paid plan, you agree to pay all applicable fees.

Fees are billed in advance on a monthly or annual basis depending on the plan you select. All fees are non-refundable except as required by law or as explicitly stated in a separate agreement.

We reserve the right to change pricing with at least 30 days’ notice. Price changes will take effect at the start of your next billing cycle.

7. AI Assistant Feature

Clarion includes an optional AI-powered IT assistant. When you use this feature, your typed question is sent through Vercel AI Gateway to Anthropic for processing. No user data, firm data, or operational data from your connected integrations is sent to the AI provider. Only the operator’s typed question is transmitted. The AI assistant is provided “as is” and responses should be verified independently.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access if you violate these terms, if your use poses a security risk, or if we are required to do so by law.

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a reasonable period (at least 30 days) after termination, after which it may be deleted.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Clarion Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising from these terms or the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Delaware.

13. Modifications

We may update these terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the Service at least 15 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated terms.
